Procedure for Election of Directors
 
This procedure is made in accordance with the requirement under Rule 13.51D of the Rules Governing the Listing of Securities on the Stock Exchange of Hong Kong Limited (the Listing Rules). China Graphene Group has proposed the procedure for the nomination and election of directors (the "candidates") of the company by shareholders of the company (the "shareholders"):
 
1  If the proposed candidates are elected at a general meeting as directors of the company, the shareholder shall, within the period specified in paragraph 3 of this procedure, send a written notice (" notice of nomination ") to the head office of the company at room 1237-1240, 12 / F, Sun Hung Kai Centre, 30 Harbour Road, Wanchai, Hong Kong.
 
2   Notification of nomination must contain:
(i) The details of the proposed appointment, such as the nature of the director's job;
(ii) The information that required to be disclosed by candidates in accordance with Rule 13.51 (2) of the Listing Rules;
(iii) Signature, name and contact details of the relevant shareholders;
(iv) A signed letter from the candidate indicating his/her willingness to be elected and consent of the publication of his/her personal information.
 
3   The period for submitting the nomination notice shall be from the date of sending the notice of the shareholders' meeting to the end of seven days before the date of holding the shareholders' meeting.

4  After receiving the nomination notice, the company will publish a public announcement or issue a supplementary circular about the disclosure of the details of candidates in accordance with Rule 13.51 (2) of the Listing Rules before the general meeting of shareholders.
 
5  Assess whether or not it is necessary to adjourn the meeting of the election to give shareholders at least 10 business days to consider the relevant information disclosed in the announcement or supplementary circular.
